Head Corporate Counsel & Company Secretary

About the role

The leading pan‑African banking group is seeking a senior legal and governance executive to lead the legal function and act as Company Secretary for its Guinea subsidiary. Reporting directly to the Board, the Head Corporate Counsel will ensure regulatory compliance, manage legal risk and support strategic decision‑making across the bank.

Key responsibilities

• Oversee the bank’s regulatory compliance programme and provide guidance to the Board, senior management and department heads.
• Develop and maintain a regulatory framework and tracking system to identify and mitigate regulatory risks.
• Design policies and procedures for reputational risk management, including monitoring, analysis and corrective actions.
• Coordinate board meetings, prepare minutes and ensure timely reporting of board deliverables.
• Prepare, review, analyse and negotiate legal, credit and security documentation to protect the bank’s interests.
• Act as the primary liaison with external counsel and provide legal advice to all business units, including investment banking and credit recovery.

Required profile

• Law degree (LLB or BL) with specialised training in banking law or regulations.
• Minimum 12 years of post‑qualification legal experience in financial services, including at least 8 years in banking and 5 years in senior management.
• Strong knowledge of corporate governance, regulatory compliance and company secretarial practice.
